Terms of Service

1. Agreement to Terms

By accessing or using GoClaw ("Service"), operated by Dima360Marketing LLC ("Company," "we," "us," or "our"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Service Description

2.1 What GoClaw Provides

GoClaw is a managed hosting platform for OpenClaw AI assistants. We provide:

• Cloud-hosted OpenClaw instances (containers)
• Web dashboard for management and configuration
• Integration support for messaging channels (Telegram, Discord, WhatsApp, etc.)
• Basic technical support

2.2 What GoClaw Does NOT Provide

• AI models or API keys (you bring your own - "BYOK")
• Guaranteed uptime or availability
• Content moderation or monitoring of your AI outputs
• Legal, medical, financial, or professional advice
• Liability for AI-generated content

3. BYOK (Bring Your Own Key) Terms

3.1 Your API Keys, Your Responsibility

GoClaw operates on a BYOK model. You are solely responsible for:

• Obtaining and maintaining valid API keys from AI providers (Anthropic, OpenAI, Google, etc.)
• Compliance with AI provider terms of service
• All API usage costs charged by AI providers
• Security and confidentiality of your API keys
• Any consequences of API key misuse, revocation, or suspension

3.2 No Liability for AI Provider Issues

We are NOT liable for:

• AI provider outages, rate limits, or service changes
• Your API key being suspended or revoked
• Costs incurred through your API usage
• Changes to AI provider pricing or terms

3.3 API Key Security

You agree to:

• Keep API keys confidential
• Not share instances or credentials with unauthorized parties
• Immediately notify us if you suspect key compromise
• Rotate keys if instructed for security reasons

4. AI Disclaimer

4.1 No Warranty on AI Outputs

You acknowledge that AI systems:

• Can produce inaccurate, incomplete, or false information ("hallucinations")
• May generate inappropriate, biased, or offensive content
• Are not substitutes for professional advice
• Require human oversight and verification

4.2 Your Responsibility for AI Use

You are solely responsible for:

• All content generated by your AI instance
• Reviewing AI outputs before relying on them
• Ensuring AI use complies with applicable laws
• Any harm caused by your AI's outputs to third parties

4.3 No Monitoring

We do not monitor, review, or moderate content generated by your AI instance. You bear full responsibility for your AI's behavior.

5. Acceptable Use Policy

5.1 Prohibited Uses

You may NOT use GoClaw to:

• Violate any law or regulation
• Generate illegal content (CSAM, terrorism, etc.)
• Harass, threaten, or harm others
• Send spam or unsolicited messages
• Impersonate individuals or organizations
• Conduct fraud or phishing
• Mine cryptocurrency or run non-AI workloads
• Attack, probe, or attempt to breach our systems
• Resell or sublicense the Service without authorization
• Violate AI provider acceptable use policies
• Circumvent rate limits or security measures

5.2 Enforcement

We may, at our sole discretion:

• Suspend or terminate accounts violating these Terms
• Remove content or disable instances
• Report illegal activity to authorities
• Cooperate with law enforcement investigations

6. Third-Party Services

6.1 Channel Providers

Your AI integrates with third-party platforms (Telegram, Discord, WhatsApp, Slack, etc.). You agree to comply with each platform's terms of service and accept that platforms may ban, restrict, or modify access at any time.

6.2 AI Providers

Your AI uses third-party AI models. We are not responsible for AI provider service availability, changes to AI capabilities, pricing, or terms.

6.3 Payment Processor

Payments are processed by Stripe. Your payment information is subject to Stripe's terms and privacy policy.

7. Pricing, Billing & Refunds

7.1 Subscription Fees

Fees are as displayed at time of purchase. Subscriptions billed monthly or annually as selected. Prices may change with 30 days notice.

7.2 Free Trial

Free trial available as offered. No payment required during trial. Service converts to paid subscription at trial end unless cancelled.

7.3 Refund Policy

• Within 7 days of first payment: Full refund available upon request
• After 7 days: No refunds for partial periods
• Annual plans: Pro-rated refund within first 30 days only
• AUP violations: No refunds

7.4 Failed Payments

We will attempt to charge failed payments for up to 7 days. Service suspended after 7 days of non-payment. Account data deleted after 30 days of suspension.

8. Service Availability

We do not guarantee any specific level of uptime or availability. The Service is provided "as available."

We may perform maintenance that temporarily interrupts service and may modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

9. Data & Privacy

You retain ownership of data you input into the Service. We do not sell your data to third parties. Data is processed on servers in the United States.

Data deleted within 30 days of account termination. Export your data before cancelling.

10. Intellectual Property

OpenClaw is open-source software under the MIT License. Your use of OpenClaw is subject to its license terms.

The GoClaw platform, branding, and proprietary features are owned by Dima360Marketing LLC. You retain rights to content you create.

11. Limitation of Liability

11.1 Disclaimer of Warranties

You acknowledge these limitations are fundamental to the pricing and provision of the Service.

12. Indemnification

You agree to indemnify, defend, and hold harmless Dima360Marketing LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your AI instance's outputs or actions
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of AI provider or channel provider terms
• Claims by your end-users related to your AI
• Your failure to comply with applicable laws

13. Termination

13.1 Your Termination

You may cancel your subscription at any time through the dashboard. Access continues until the end of your billing period.

13.2 Our Termination

We may suspend or terminate your account immediately if you:

• Violate these Terms or the Acceptable Use Policy
• Fail to pay fees when due
• Engage in conduct harmful to us or other users

13.3 Effect of Termination

Upon termination, access ceases and we may delete your data after 30 days. Sections 3-6, 10-15 survive termination.

14. Dispute Resolution

14.1 Informal Resolution

Before filing any claim, you agree to contact us at hello@goclaw.ai to attempt informal resolution for at least 30 days.

14.2 Arbitration Agreement

• Arbitration location: New York, NY (or conducted remotely)
• Each party bears its own costs; arbitrator fees split equally
• Arbitrator's decision is final and binding

14.3 Class Action Waiver

14.4 Exceptions

Either party may seek injunctive relief in court for intellectual property violations or security breaches.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

15.2 Modifications

We may modify these Terms with 30 days notice via email or dashboard notification. Continued use after modifications constitutes acceptance.

15.3 Force Majeure

We are not liable for delays or failures due to circumstances beyond reasonable control (natural disasters, war, pandemic, infrastructure failures, etc.).
